YouTube Teacher Partner Terms
These Terms are a binding agreement between NKs EduOrbit (“Platform”) and the YouTube teacher/creator registering on the app (“Partner”). By ticking the checkbox and continuing, the Partner agrees to these Terms.
1. Purpose
The Platform offers an educational app for Maharashtra State Board students (notes, exercises, MCQ tests and word tests). The Partner wishes to recommend the app to their audience and earn a commission on paid subscriptions made through their unique Teacher Code.
2. Teacher Code and Link
- The Platform gives the Partner a unique Teacher Code and referral link once the Partner’s account is approved.
- A student is linked to the Partner when they register through the Partner’s link or enter the Partner’s code, and then complete a paid subscription.
- A student is linked to only one Partner code. The first valid code stays linked, unless the Platform’s records show a technical error.
- The Platform’s records are final for deciding which student is linked to which Partner.
3. Commission
- The Partner earns the commission shown in their account (at the start: Rs. 30 for each linked student’s successful, paid, non-refunded yearly subscription).
- Commission is payable on a student’s first paid subscription only. No commission is payable on renewals unless the Platform states otherwise in writing.
- No commission is payable on free users, free chapters, trials, discounted or promotional subscriptions (unless stated in writing), or refunded, cancelled or charged-back payments.
- Commission is calculated on successful payments only and does not include payment gateway fees, taxes or app store charges. The Platform’s calculation is final, subject to Clause 5.
4. Holding Period and Payout
- Commission stays pending for 7 days after the student’s payment, to allow for refunds. After that it becomes payable.
- Each month is closed on the 1st. The Platform pays the previous month’s commission between the 2nd and the 5th of the month, by UPI, provided the payable balance is at least the minimum payout shown in the Partner’s account.
- A balance below the minimum, or a negative balance after refunds, carries forward to the next month.
- The Partner must give a correct UPI ID and name. The Platform is not responsible for payments sent to wrong details supplied by the Partner.
5. Refunds and Reversals
- If a student’s payment is refunded, cancelled or reversed, the related commission is cancelled.
- If commission has already been paid for such a payment, the Platform may deduct it from future payouts.
- If the Partner disputes a payout, the Partner must inform the Platform in writing within 15 days of the payout date.
6. KYC, Taxes and Payments
- The Partner must provide PAN and payout details before receiving payouts. The Platform may hold payouts until these are complete.
- The Partner is responsible for their own income tax, GST (if applicable) and other legal obligations on the commission received.
- The Platform may deduct TDS or other taxes where required by law and will provide the related records.
7. Honest Promotion
When promoting the app, the Partner will:
- Clearly disclose that they earn a commission (for example, “I earn a commission if you join through my code”), as required under applicable advertising and endorsement rules in India.
- Not make false or misleading claims, including promises of guaranteed marks, ranks or results.
- Not misuse the Platform’s name, logo or content, or suggest that the Partner is an employee or official representative of the Platform.
- Not spam, use bots, run misleading ads, or promote in a way that violates YouTube’s policies or any law.
- Not offer cash or gifts to students in exchange for subscribing, without the Platform’s written approval.
8. Prohibited Activity (Fraud)
The following are prohibited and may result in cancellation of commission and suspension of the account:
- Subscribing with your own or family members’ accounts to earn commission (self-referral).
- Creating fake accounts or using fake or stolen payment methods.
- Manipulating links, codes or referral tracking.
- Encouraging students to subscribe and then claim refunds.
The Platform may withhold commission linked to suspected fraud while investigating, and may recover any amount already paid.
9. Partner’s Content
- The Partner remains the sole owner of their YouTube channel and videos.
- If the Partner allows their videos to be shown in the app, they confirm the videos are their own or that they have full rights to use them. Videos are shown only through YouTube’s official embedded player, and YouTube’s terms continue to apply.
- The Partner will keep embedding enabled while their videos are listed and is responsible for any claim arising from their content.
- The Platform does not take any share of the Partner’s YouTube revenue.
10. Platform Content and Intellectual Property
- All notes, questions, tests, software, logos and trademarks in the app belong to the Platform.
- The Partner receives a limited, non-exclusive licence to use the Platform’s name, logo and approved promotional material only to promote the app under these Terms.
- The Partner may not copy, resell or redistribute the app’s content.
11. Student Data and Privacy
- Students who join through the Partner are users of the Platform. Student data belongs to the Platform and is handled under the Privacy Policy.
- The Partner sees only the total number of linked and paid students. The Partner does not see student names, contact details, results or activity.
- The Partner will not collect, copy, misuse or contact students using personal data obtained through the app.
12. Relationship
- The Partner is an independent promoter, not an employee, agent or partner of the Platform.
- This arrangement is non-exclusive. The Partner may promote other products, and the Platform may work with other Partners.
- The Platform does not guarantee any number of students or any minimum earnings.
- A YouTube Partner account is for referral and earnings only. It does not include teacher tools such as the Paper Builder or student lists.
13. Changes to Commission or Terms
The Platform may change commission rates, payout rules or these Terms by giving 15 days’ notice in the app or by email. Changes apply only to payments made after the notice period. Continued use after the notice period means acceptance.
14. Term and Termination
- Either party may end this arrangement by giving 15 days’ notice (email is sufficient).
- The Platform may suspend or end the Partner’s account immediately for breach of these Terms, fraud, or damage to the Platform’s reputation.
- On termination, commission already earned and payable (excluding fraud-related amounts) will be paid in the normal payout cycle.
- After termination, the Partner will stop using the Platform’s name, logo and links in new promotion.
15. Limitation of Liability
The app is provided on a reasonable-effort basis without a guarantee of uninterrupted service. The Platform’s total liability to the Partner is limited to the unpaid, valid commission owed at that time. The Platform is not liable for indirect or consequential loss, including loss of expected earnings or audience.
16. Governing Law and Disputes
These Terms are governed by the laws of India. The parties will first try to resolve any dispute amicably. Failing that, the courts at Kolhapur, Maharashtra will have exclusive jurisdiction.
17. Electronic Acceptance
The Partner agrees that ticking the checkbox and continuing is a valid electronic signature and acceptance under the Information Technology Act, 2000. The Platform’s records of acceptance (date, time, version and IP address) are valid evidence of that agreement.
School / Institute Teacher Terms
These Terms are an agreement between NKs EduOrbit (“Platform”) and the teacher registering on the app (“Teacher”). By ticking the checkbox and continuing, the Teacher agrees to these Terms.
1. Account
- A Teacher account starts as pending and works only after the Platform approves it. The Platform may set a validity date, and may block an account for misuse.
- The Teacher keeps the PIN private and is responsible for activity on the account.
2. Free plan and Paper Builder
- On the free plan the Teacher can build 4 papers per batch.
- Unlimited Paper Builder for a batch is available once at least 10 students of that batch, linked to the Teacher, have paid. The Platform may change these numbers with notice.
- Board-style (exam look-alike) papers are available only if the Platform enables them for the Teacher. Such papers are practice papers and must not be presented as official board papers.
- Questions and content belong to the Platform. The Teacher may use generated papers for teaching, but may not resell the question bank or sell books made from it without written permission.
3. Students linked to the Teacher
- A student is linked when they register with the Teacher’s link or code. A student is linked to one Teacher; the first valid code stays.
- The Teacher sees the results and activity of linked students to help teach them, and must keep that information private and use it only for teaching.
4. Commission
- The Teacher earns the commission shown in their account (at the start: 15% of the student’s first paid subscription), for successful, paid, non-refunded payments only. No commission on renewals unless stated in writing, and none on free users, trials or refunded payments.
- Commission is held for 7 days after payment, each month is closed on the 1st, and payable balances are paid between the 2nd and the 5th by UPI once they reach the minimum payout shown in the account. Smaller balances carry forward.
- Refunds or chargebacks cancel the related commission; an amount already paid may be deducted from later payouts.
- The Teacher must provide PAN and correct UPI details, and is responsible for their own taxes. The Platform may deduct TDS where the law requires.
5. Honest promotion and fraud
- Say clearly that you may earn a commission when you recommend the app. Make no false promises about marks or results.
- No self-referral, fake accounts, misuse of codes, or encouraging students to claim refunds. The Platform may withhold or recover commission and suspend the account.
6. Privacy
Student data belongs to the Platform and is handled under the Privacy Policy. The Teacher will not copy, share or misuse student personal data.
7. Changes, termination, liability
- The Platform may change rates, limits or these Terms with 15 days’ notice in the app or by email. Either side may end the arrangement with 15 days’ notice; the Platform may suspend at once for breach or fraud.
- The app is provided on a reasonable-effort basis. The Platform’s liability is limited to unpaid, valid commission owed at that time.
- Indian law applies; the courts at Kolhapur, Maharashtra will have exclusive jurisdiction over any dispute. Ticking the checkbox is a valid electronic acceptance under the Information Technology Act, 2000, and the Platform’s record of the acceptance (date, time, version, IP address) is valid evidence.
